Job-To-Go Terms of Service

IMPORTANT NOTICE: THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND WAIVER OF CLASS ACTION RIGHTS (SECTION 14), AS WELL AS LIMITATIONS OF LIABILITY (SECTION 10) AND INDEMNIFICATION OBLIGATIONS (SECTION 11). PLEASE READ CAREFULLY.
1. Introduction and Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Enzo Chaoui, doing business as Job-To-Go ("JTG", "we", "us", or "our"), a sole proprietorship registered in the Province of Québec, Canada.
The Platform (as defined below) provides an online marketplace that enables students and individuals to connect for the purpose of offering and requesting short-term services.
By creating an account, accessing, or using the Platform, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms and our [Privacy Notice]. If you do not agree to these Terms, you must strictly stop using the Platform.
Modifications: We reserve the right to modify these Terms at any time. Material changes affecting your rights, liability, or payment obligations will be communicated to you via email or a prominent notice on the Platform at least thirty (30) days prior to the effective date. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree to the changes, your sole remedy is to stop using the Platform and close your account.
2. Definitions
"Platform" means the Job-To-Go website, mobile applications, API, and related services.
"User" means any individual who accesses or uses the Platform, including Taskers and Askers.
"Tasker" means a User who offers, performs, or seeks to provide Services through the Platform.
"Asker" means a User who requests, purchases, or receives Services through the Platform.
"Services" means the specific tasks, jobs, or assistance offered by Taskers and requested by Askers (e.g., tutoring, cleaning, moving help).
"Transaction" means the agreement, booking, and payment arrangement for Services between an Asker and a Tasker.
"Content" means text, graphics, images, software, audio, video, information, and other materials available on the Platform.
"User Content" means any Content that a User posts, uploads, publishes, submits, or transmits to be made available through the Platform.
"Personal Information" means information about an identifiable individual as defined under applicable Canadian privacy laws.
"Stripe" means Stripe, Inc. and its affiliates, the third-party payment processor used by the Platform.
3. Description of Platform and Services
3.1 Marketplace Only. JTG operates solely as an independent online marketplace facilitator. We provide the digital infrastructure to connect Taskers and Askers. JTG IS NOT A SERVICE PROVIDER. We do not provide, perform, supervise, manage, control, or direct any Services.
3.2 No Employment Relationship. JTG is not an employer, placement agency, or temporary help agency. JTG does not employ Taskers or Askers. All Users act as independent individuals or independent business entities.
3.3 No Guarantee. JTG does not guarantee the quality, safety, suitability, legality, or timeliness of any Services. We do not endorse any Tasker or Asker. Any reference to a User being "verified" (or similar language) indicates only that the User has completed a relevant verification or identification process, and does not constitute an endorsement, certification, or guarantee by JTG.
3.4 Contract between Users. When Users enter into a Transaction, they create a legally binding contract directly with each other. JTG is not a party to that contract. You understand that JTG is not a party to any agreements entered into between Askers and Taskers.
4. Eligibility and Account Requirements
4.1 Age Requirement. The Platform is available only to individuals who are 18 years of age or older. By registering, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into binding contracts.
Verification: JTG reserves the right, but assumes no obligation, to request proof of age and identity (e.g., government-issued ID) at any time. Accounts found to be operated by minors will be immediately terminated.
4.2 Account Security. You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities that occur under your account. You agree to notify JTG immediately of any unauthorized use.
4.3 Accurate Information. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. JTG may suspend or terminate your account if any information provided is false, misleading, or incomplete.
5. Independent Contractor Relationship
5.1 Independent Status. Taskers explicitly acknowledge and agree that they are independent contractors operating their own independent business. Taskers are not employees, partners, agents, joint venturers, or franchisees of JTG.
5.2 Tasker Control. Taskers have the sole right to determine:
Whether to accept or reject any request for Services;
The method, manner, and means of performing the Services, provided that the Services are performed in a manner consistent with the specifications agreed with the Asker;
The time and location of the Services (subject to agreement with the Asker).
5.3 No Minimum Commitment. Taskers are not required to accept a minimum number of jobs or work a minimum number of hours.
5.4 No Benefits. Taskers acknowledge they are not entitled to any employment benefits, including but not limited to Employment Insurance (EI), Canada Pension Plan (CPP) contributions, vacation pay, sick leave, or workers' compensation coverage from JTG.
5.5 Dependent Contractor Waiver. To the extent permitted by law, Taskers waive any right to be classified as a "dependent contractor" and acknowledge that they are free to offer services to other clients and platforms outside of JTG.
6. Payments, Fees, and Taxes
6.1 Payment Processing. Payment processing services for Users on JTG are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these Terms or continuing to operate as a User on JTG, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of JTG enabling payment processing services through Stripe, you agree to provide JTG accurate and complete information about you and your business, and you authorize JTG to share it and transaction information related to your use of the payment processing services provided by Stripe.
6.2 Fees.
Platform Fee: JTG charges a service fee ("Platform Fee") for the use of the Platform, which is calculated as a percentage of the Transaction amount. This fee will be clearly displayed prior to booking.
Stripe Fees: Transactions may be subject to additional processing fees charged by Stripe, which are the responsibility of the User as applicable.
6.3 No Refunds. JTG does not issue refunds for Services performed. Any disputes regarding the quality of Services or requests for refunds must be resolved directly between the Asker and Tasker. JTG is not responsible for and will not reimburse any chargebacks or payment reversals.
6.4 Tax Obligations.
User Responsibility: Users are solely responsible for determining their applicable tax obligations, including Income Tax, GST/HST, QST, and other sales taxes. JTG does not offer tax advice.
Collection & Remittance: Taskers are responsible for collecting and remitting all applicable taxes to the appropriate tax authorities.
Marketplace Facilitator Laws: Notwithstanding the above, in certain jurisdictions (including Canada and specific provinces), JTG may be required by law to collect and remit sales taxes (such as GST/HST/QST) on Platform Fees or on the Services themselves. Where applicable, these taxes will be calculated and collected at checkout.
Reporting: You acknowledge that JTG may be required to report information regarding your earnings and transactions to the Canada Revenue Agency (CRA) and Revenu Québec to comply with digital platform operator reporting rules.
7. Prohibited Conduct
You agree not to use the Platform to:
Illegal Services: Offer or solicit services that are illegal, unsafe, or violate any local, provincial, or federal laws (e.g., drug sales, escort services, unauthorized medical advice, academic misconduct/cheating).
Circumvention: Recruit or otherwise solicit any User to join third-party services or websites that are competitive to JTG, or to pay for Services outside the Platform to avoid Platform Fees.
Misrepresentation: Impersonate any person or entity, or falsify or misrepresent yourself or your affiliation with any person or entity (including JTG).
Harassment: Stalk, harass, threaten, or defraud other Users or JTG staff.
Intellectual Property Violation: Post content that infringes on the copyright, trademark, patent, or other intellectual property rights of any third party.
Data Mining: Use any robot, spider, scraper, or other automated means to access the Platform for any purpose without our express written permission.
Enforcement: JTG reserves the right to investigate and prosecute violations of any of the above to the fullest extent of the law. We may involve and cooperate with law enforcement authorities in prosecuting Users who violate these Terms.
8. Intellectual Property Rights
8.1 JTG Ownership. The Platform, including its "look and feel" (e.g., text, graphics, images, logos), proprietary content, information and other materials, are protected under copyright, trademark, and other intellectual property laws. You acknowledge and agree that JTG and/or its licensors own all right, title, and interest in and to the Platform.
8.2 User Content License. By posting User Content on the Platform, you grant JTG a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sub-licensable and transferable license to use, copy, modify, distribute, purely for the purposes of operating, developing, providing, promoting, and improving the Platform.
8.3 Feedback. Any feedback, comments, or suggestions you may provide regarding JTG or the Platform is entirely voluntary and we will be free to use such feedback as we see fit and without any obligation to you.
9. Privacy and Data Protection
9.1 Privacy Notice. Our collection, use, and disclosure of Personal Information are governed by our [Privacy Notice], which is incorporated into these Terms by this reference.
9.2 Consent to Transfer. You acknowledge and agree that your Personal Information may be transferred to, stored, and processed in jurisdictions other than your own (including the United States via Stripe), where data protection laws may differ from those in Canada.
9.3 Sensitive Information (Québec Law 25). By providing sensitive Personal Information (such as government identification for verification purposes) to JTG, you provide your express consent for JTG to collect, use, and store this information strictly for the purposes of identity verification, fraud prevention, and legal compliance.
9.4 Data Security. While we implement reasonable safeguards to protect your data, no method of transmission over the Internet is 100% secure. You acknowledge that you provide Personal Information at your own risk.
10. Limitation of Liability
PLEASE READ THIS SECTION CAREFULLY. IT LIMITS THE LIABILITY OF JTG TO YOU.
10.1 Disclaimer of Warranties. THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. JTG DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JTG (INCLUDING ITS OWNER, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND CONTRACTORS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE PLATFORM OR SERVICES.
10.3 Monetary Cap. IN NO EVENT SHALL JTG'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE LESSER OF: (A) THE TOTAL FEES PAID BY YOU TO JTG IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS ($100 CAD).
10.4 Sole Proprietorship Acknowledgment. YOU ACKNOWLEDGE THAT JTG IS A SOLE PROPRIETORSHIP. YOU AGREE THAT ANY LEGAL ACTION TAKEN AGAINST JTG SHALL BE SUBJECT TO THE LIMITATIONS OF LIABILITY SET FORTH HEREIN AND THAT YOU WILL NOT SEEK PERSONAL ASSETS OF THE PROPRIETOR BEYOND THE BUSINESS ASSETS AND INSURANCE COVERAGE (IF ANY) OF JTG.
10.5 Jurisdictional Exceptions. SOME JURISDICTIONS (SUCH AS QUÉBEC) DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY FOR CONSUMERS. IN SUCH JURISDICTIONS, THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION SHALL APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF SUCH JURISDICTION.
11. Indemnification
You agree to release, defend (at JTG’s option), indemnify, and hold harmless JTG, its owner (Enzo Chaoui), affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with:
Your breach of these Terms or our Policies;
Your improper use of the Platform or any Services;
Your interaction with any User, including without limitation any injuries, losses or damages (whether compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of such interaction;
Your failure to accurately report, collect, or remit taxes;
Your breach of any laws, regulations, or third-party rights.
12. Insurance Disclaimer
JTG does not provide insurance coverage for any User.
For Taskers: Obtaining insurance (e.g., Commercial General Liability, Workers’ Compensation) is optional but recommended to protect your business and cover potential liability arising from your Services. JTG is not responsible for any loss or damage you may incur if you operate without insurance.
For Askers: You may choose to verify whether a Tasker has insurance before engaging their Services, but JTG does not verify insurance coverage and is not responsible for any claims or losses related to a Tasker’s insurance status.
13. Termination
13.1 Right to Terminate. JTG may, in its sole discretion and without liability to you, with or without cause, with or without prior notice, and at any time: (a) terminate these Terms or your access to the Platform, and (b) deactivate or cancel your JTG account.
13.2 Effect of Termination. Upon termination, you will remain liable for all amounts due hereunder. Sections 6 (Payments), 8 (Intellectual Property), 10 (Limitation of Liability), 11 (Indemnification), 13 (Termination), and 14 (Dispute Resolution) shall survive any termination or expiration of these Terms.
14. Governing Law and Dispute Resolution
14.1 Governing Law. These Terms will be interpreted in accordance with the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-law provisions.
14.2 Informal Resolution. Before filing a claim against JTG, you agree to try to resolve the dispute informally by contacting team@job-to-go.com. We will attempt to resolve the dispute informally via email, phone, or other methods. If a dispute is not resolved within 30 days of submission, you or JTG may bring a formal proceeding.
14.3 Arbitration. Except where prohibited by applicable law (such as the Québec Consumer Protection Act), any dispute arising out of or relating to these Terms or the Platform shall be finally settled by binding arbitration in Montréal, Québec. The arbitration will be conducted in English or French (at your preference).
14.4 Class Action Waiver. WHERE PERMITTED BY LAW, YOU AND JTG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and JTG agree, no arbitrator or judge may consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding.
14.5 Venue. If the arbitration clause is found to be unenforceable or does not apply to you, you agree to submit to the exclusive jurisdiction of the courts located in Montréal, Québec.
15. General Provisions
15.1 Entire Agreement. These Terms constitute the entire and exclusive understanding and agreement between JTG and you regarding the Platform, and these Terms supersede and replace any and all prior oral or written understandings or agreements between JTG and you regarding the Platform.
15.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.
15.3 No Waiver. JTG’s failure to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision.
15.4 Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without JTG’s prior written consent. JTG may assign or transfer these Terms, at its sole discretion, without restriction.
15.5 Force Majeure. JTG shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
15.6 Language / Langue.
The parties acknowledge that they have required that these Terms of Service and all related documents be prepared in English.
